International and Cross Border Transactions
Our corporate, securities and tax attorneys assist domestic and non-U.S. clients with sophisticated international and cross-border transactions and agreements, with a particular focus on businesses and deals involving or located in Latin America, Europe and Israel. Among other things, we actively assist global and non-U.S. concerns in in-bound transactions, and in establishing and developing their presence in the U.S. (which often includes a significant presence in Florida). A number of our attorneys are fluent in foreign languages and are intricately familiar with the business, legal and social culture of, as well as the “players” in, many countries. We leverage our strong contacts and relationships with leading lawyers and other professionals throughout these countries to ensure superior local representation and knowledge wherever it is needed or appropriate. In this regard, Berger Singerman is a member of TAGLaw, a global alliance of high-quality, independent law firms with more than 140 member firms based in nearly 100 countries.
We regularly assist U.S.-based clients in a variety of global and cross-order transactions and arrangements, including acquiring foreign businesses, forming international joint ventures and alliances, raising offshore investment capital, minimizing worldwide (or specific country) taxation and selling companies or divisions to foreign acquirers. Similarly, we assist our non-U.S. clients in establishing operations in the U.S., in acquiring or investing in U.S.-based or -organized businesses, in participating in joint ventures and in taking advantage of, and navigating the requirements of, the U.S. capital markets. Our non-U.S. clients include global and middle market foreign companies, as well as wealthy non-U.S. families and individuals.
